SCNX Helper Program - Terms of Service

Welcome to the SCNX Helper Program 👋

Thank you for being part of the SCNX Helper team.

You're volunteering your time and expertise to help real users - and that means a lot to us and the entire SCNX community.

Being a Helper comes with access to internal dashboards, user data, private communication channels, and other systems that most community members never see. That's a real level of trust, and this document exists to make sure everyone is on the same page about what that trust entails.

These Terms are thorough because they have to be - not because we expect problems. If anything below is unclear, reach out to us. We'd always rather explain a clause than have anyone feel uncertain about what's expected.

What you get as a Helper

  • Access to internal Helper Dashboards across multiple SCNX systems
  • An SCNX Helper Email address
  • Access to Helper-only Discord channels and meetings
  • A direct line to the ScootKit team
  • The opportunity to shape SCNX through your feedback and bug reports

What we expect in return

  • Keep it confidential. Everything you see in dashboards, Helper channels, meetings, and emails stays internal. This is the single most important rule. (Sections 5 & 6)
  • Don't access what you don't need. Only look at user data that's relevant to the support interaction you're handling. Never seek out private information. (Section 7)
  • Use Helper resources for Helper tasks only. The dashboards, email, and channels are for SCNX support - not personal use. (Sections 5.3 & 8)
  • Be honest and respectful. File accurate tickets, give helpful support, escalate what you can't solve. (Sections 2.2 & 8)
  • Protect your accounts. Strong passwords, 2FA where available, don't share access. (Section 4.3)

What happens if something goes wrong

Mistakes happen - if you accidentally see something you shouldn't have, or suspect a security issue, tell us immediately. We care far more about quick reporting than about assigning blame.

Intentional violations are a different story: they can lead to removal from the program and, in serious cases, legal consequences. (Sections 11 & 15)

SCNX Helper Program - Terms of Service

Preamble

These Terms of Service (hereinafter referred to as "Terms") govern the participation in the SCNX Helper Program and the access to and use of all associated platforms, systems, dashboards, communication channels, and tools (collectively, the "Helper Infrastructure") provided by ScootKit UG (haftungsbeschränkt), a company organized and existing under the laws of the Federal Republic of Germany, with its registered office at Graubündener Str. 61, 81475 München, registered with the Handelsregister of München under registration number HRB 296162 (hereinafter referred to as "ScootKit", the "Company", "we", "us", or "our").

SCNX is a product developed and operated by ScootKit. The SCNX Helper Program enables selected community members ("Helpers") to assist with Level 1 customer support for SCNX users. Through the Helper Infrastructure, Helpers may access certain confidential and user-related information, interact with users on various platforms, file support tickets on behalf of users, submit bug reports, and perform other support-related functions as made available from time to time.

Given the sensitive nature of the information accessible through the Helper Infrastructure - including confidential business information, internal communications, user data, and proprietary systems - these Terms establish comprehensive obligations regarding confidentiality, data protection, acceptable use, and the legal framework governing the relationship between ScootKit and each Helper.

These Terms are governed by and shall be interpreted in accordance with the laws of the Federal Republic of Germany, including but not limited to the Bürgerliches Gesetzbuch (BGB), the Datenschutz-Grundverordnung (DSGVO/GDPR), the Bundesdatenschutzgesetz (BDSG), the Telemediengesetz (TMG), and the Telekommunikation-Digitale-Dienste-Datenschutz-Gesetz (TDDDG).

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Helper" means any natural person who has been accepted into the SCNX Helper Program and has been granted access to the Helper Infrastructure for the purpose of providing voluntary Level 1 customer support for SCNX.
  • "SCNX" means the product developed and operated by ScootKit, including all associated services, features, websites, and applications.
  • "Helper Infrastructure" means all platforms, systems, dashboards, tools, communication channels, email accounts, and resources made available to Helpers in connection with the SCNX Helper Program. This includes, but is not limited to, all Helper Dashboards, Helper-only Discord channels, the SCNX Helper email, internal documentation, and any other systems or tools provided to Helpers from time to time.
  • "Helper Dashboard(s)" means any and all web-based dashboard applications provided by ScootKit to Helpers, regardless of their specific purpose or the system they belong to. ScootKit operates multiple dashboards across different systems that may serve different functions (e.g., ticket management, bug reporting, user lookup, moderation tools, analytics, content management, or other internal tools). These Terms apply equally to all such dashboards, whether currently existing or introduced in the future.
  • "Helper-Only Channels" means any communication channels on Discord or other platforms that are designated exclusively for Helpers and/or ScootKit staff, including but not limited to channels for internal discussion, coordination, training, announcements, escalation, and any other channels not accessible to the general public or general community members.
  • "SCNX Helper Email" means any email address provided to a Helper by ScootKit in connection with the Helper Program (e.g., addresses under the scnx.app domain or any other ScootKit-operated domain).
  • "Helper Meetings" means any meetings, calls, video conferences, or other synchronous communication sessions organized by or for the SCNX Helper Program, whether conducted via Discord, video conferencing tools, or any other medium.
  • "Confidential Information" means any non-public information accessible through or related to the Helper Infrastructure, including but not limited to: user data; internal tools and workflows; support procedures; system architecture; bug reports; business strategies; product roadmaps; internal discussions in Helper-Only Channels; content of Helper Meetings; internal documentation; any data displayed in any Helper Dashboard; any information communicated via the SCNX Helper Email; and any other information designated as confidential or that a reasonable person would understand to be confidential.
  • "User Data" means any data relating to identified or identifiable end-users of SCNX, including personal data as defined under Article 4(1) DSGVO.
  • "Personal Data" has the meaning given to it in Article 4(1) of the DSGVO, i.e., any information relating to an identified or identifiable natural person.
  • "Processing" has the meaning given to it in Article 4(2) of the DSGVO and includes any operation performed on Personal Data, whether or not by automated means.
  • "Level 1 Support" has the meaning given to it in Section 2.2 of these Terms.
  • "Account" means the individual Helper account(s) assigned to a Helper for accessing the Helper Infrastructure.
  • "Support Channels" means all channels and platforms through which Helpers provide support to SCNX users, including but not limited to designated Discord support channels, the Helper Dashboards, and any other officially designated support medium.

2. Role, Scope, and Definition of Level 1 Support

2.1 Role of Helpers

Helpers are voluntary community members who assist ScootKit with customer support for SCNX. Helpers are not employees, contractors, or agents of ScootKit. Nothing in these Terms shall be construed as creating an employment relationship (Arbeitsverhältnis), a service contract (Dienstvertrag) pursuant to § 611 BGB, a work contract (Werkvertrag) pursuant to § 631 BGB, or any other form of dependent or independent contractor relationship between the Helper and ScootKit. The provisions of the Arbeitnehmerüberlassungsgesetz (AÜG) do not apply.

2.2 Definition of Level 1 Support

Level 1 Support refers to the initial tier of customer-facing support and encompasses the following activities:

  • General Inquiries: Responding to general questions from SCNX users about features, functionality, configuration, and usage of SCNX.
  • Basic Troubleshooting: Assisting users with common issues, guiding them through standard troubleshooting steps, and helping them resolve problems that do not require access to backend systems or developer intervention.
  • Ticket Creation: Filing support tickets on behalf of users through the Helper Dashboard(s) for issues that require further investigation or cannot be resolved at the Level 1 tier.
  • Bug Reporting: Identifying and documenting potential bugs encountered by users or discovered during support interactions, and submitting bug reports through the designated systems.
  • Documentation and Guidance: Directing users to relevant documentation, FAQs, help articles, or community resources that may assist them in resolving their issues.
  • Escalation: Recognizing issues that exceed the scope of Level 1 Support - including but not limited to technical issues requiring backend access, billing disputes, account security incidents, legal inquiries, data subject access requests, and issues requiring code-level fixes - and escalating such issues to the appropriate ScootKit staff or higher support tier promptly and in accordance with the applicable escalation procedures.

Level 1 Support expressly does not include: modifying backend systems or databases; making changes to SCNX source code or infrastructure; handling billing, payment, or refund processes; making commitments or promises to users on behalf of ScootKit regarding product features, timelines, or policies; responding to legal inquiries or data subject access requests under the DSGVO; or any other activity that requires authorization or access beyond what is provided through the Helper Infrastructure.

2.3 No Agency or Authority

Helpers have no authority to act on behalf of, bind, or represent ScootKit in any legal or commercial capacity. Helpers shall not represent themselves as employees, officers, agents, or authorized representatives of ScootKit. Any tickets filed, bug reports submitted, or other actions taken through the Helper Infrastructure are internal support actions and do not constitute legal acts (Willenserklärungen) on behalf of ScootKit vis-à-vis third parties.

2.4 No Entitlement to Compensation

Helpers perform their activities on a voluntary basis. There is no entitlement to compensation, remuneration, benefits, expense reimbursement, or any other form of payment for participation in the SCNX Helper Program, unless separately agreed in writing.

2.5 Independence

Helpers are free to determine the time, place, and manner in which they participate in the Helper Program, subject only to the restrictions set out in these Terms. ScootKit does not exercise direction or control over the Helper's activities in the manner characteristic of an employment relationship.

3. Acceptance of Terms and Scope

3.1 Formation of Agreement

By accessing or using any part of the Helper Infrastructure, by participating in the SCNX Helper Program, or by accepting an invitation to become a Helper, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. This constitutes a binding agreement between you and ScootKit pursuant to §§ 145 ff. BGB. If you do not agree to any provision of these Terms, you must immediately cease all participation in the Helper Program and notify us of your withdrawal.

3.2 Scope of Application

These Terms apply to all aspects of the SCNX Helper Program, including but not limited to: all Helper Dashboards, regardless of the specific system or purpose they serve; all Helper-Only Channels on Discord or other platforms; the use of the SCNX Helper Email; all Helper Meetings; all Support Channels through which Helpers interact with SCNX users; and any other tools, systems, or resources provided to Helpers in connection with the Helper Program, whether currently existing or introduced in the future. When ScootKit introduces new dashboards, tools, or systems for Helpers, they shall automatically be subject to these Terms without the need for a separate agreement, unless ScootKit explicitly provides otherwise.

3.3 Amendments

ScootKit reserves the right to amend these Terms at any time. Material changes will be communicated to Helpers via Discord, email, or through the Helper Infrastructure at least fourteen (14) calendar days before they take effect. Your continued participation in the Helper Program after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue participation in the Helper Program before the effective date of the changes.

3.4 Supplementary Policies

These Terms may be supplemented by additional policies, guidelines, or codes of conduct that ScootKit may publish from time to time (collectively, "Supplementary Policies"). Such Supplementary Policies are incorporated herein by reference. In the event of a conflict between these Terms and any Supplementary Policy, these Terms shall prevail unless the Supplementary Policy explicitly states otherwise.

3.5 Severability (Salvatorische Klausel)

Should any provision of these Terms be or become invalid, unenforceable, or void in whole or in part, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the economic purpose of the invalid provision in accordance with § 306(2) BGB. The same applies to any gaps in these Terms.

4. Eligibility, Registration, and Account Security

4.1 Eligibility

To participate in the SCNX Helper Program, you must: (a) be at least sixteen (16) years of age; (b) have been invited or accepted into the Helper Program by ScootKit; (c) have successfully completed any onboarding or training process prescribed by ScootKit; (d) not have had a previous Helper account or Helper status terminated for cause.

4.2 Registration and Identity Verification

You must provide truthful, accurate, and complete information during the onboarding process. ScootKit reserves the right to verify your identity and to reject or revoke any participation at its sole discretion. You must promptly update your information if it changes.

4.3 Account Security

You are solely responsible for maintaining the confidentiality and security of all account credentials associated with the Helper Infrastructure, including but not limited to login credentials for any Helper Dashboard, the SCNX Helper Email, and any other systems. You agree to: (a) use strong, unique passwords that you do not use for any other service; (b) enable two-factor authentication where available and required; (c) not share your account credentials with any third party under any circumstances; (d) not allow any other person to access or use any part of the Helper Infrastructure through your accounts; (e) immediately notify ScootKit if you become aware of or suspect any unauthorized access to your accounts or any other security breach.

4.4 Liability for Account Activity

You are fully responsible for all activities that occur under your accounts, regardless of whether such activities were authorized by you. ScootKit shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

5. Helper Infrastructure and Multiple Systems

5.1 Multiple Dashboards and Systems

ScootKit operates multiple dashboards and systems as part of the Helper Infrastructure. These may include, but are not limited to, dashboards for ticket management, bug reporting, user support lookups, moderation, content management, analytics, and other internal tools. Each dashboard may provide access to different types of Confidential Information and User Data. These Terms apply uniformly to all dashboards and systems, and your obligations regarding confidentiality, data protection, and acceptable use apply equally regardless of which specific dashboard or system you are using.

5.2 Discord Communication Channels

Discord serves as a primary communication and support platform for the SCNX Helper Program. The following rules apply:

  • Helper-Only Channels: All information shared, discussed, or accessible in Helper-Only Channels on Discord is Confidential Information. You must not disclose, share, screenshot, forward, summarize, or otherwise reproduce the contents of Helper-Only Channels to any person who is not an authorized Helper or ScootKit staff member. This includes but is not limited to: internal discussions about users, support strategies, product updates, bug reports, escalation discussions, team coordination, and any other content posted in these channels.
  • Support Channels: When providing support to SCNX users in public or designated Discord support channels, you must adhere to all provisions of these Terms, including data protection obligations, conduct standards, and the scope of Level 1 Support as defined herein. You must not share Confidential Information in public or user-accessible channels.
  • Platform Terms: Your use of Discord is additionally subject to Discord's own Terms of Service and Community Guidelines. In the event of a conflict, the more restrictive obligation shall prevail.

5.3 SCNX Helper Email

ScootKit may provide Helpers with an email address for use in connection with the Helper Program. The following restrictions and obligations apply to the SCNX Helper Email:

  • Purpose Limitation: The SCNX Helper Email must be used exclusively for purposes directly related to the SCNX Helper Program. This includes communication with SCNX users in the context of support interactions, internal communication with ScootKit staff or other Helpers regarding Helper Program matters, and any other use explicitly authorized by ScootKit.
  • Prohibited Uses: You must not use the SCNX Helper Email for: personal communications unrelated to the Helper Program; registering for third-party services, websites, newsletters, or accounts unless such registration is directly required for the performance of your Helper duties and has been authorized by ScootKit; commercial or promotional purposes; any illegal or unauthorized activity; sending spam, bulk messages, or unsolicited communications; impersonating ScootKit staff or misrepresenting your role; any purpose that could damage the reputation of ScootKit or SCNX; or any other use not directly and explicitly related to your Helper duties.
  • Representation: When using the SCNX Helper Email, you must not represent yourself as an employee or official representative of ScootKit. You must clearly identify yourself as a community Helper where appropriate and must not make commitments, promises, or official statements on behalf of ScootKit.
  • Content Restrictions: All communications sent through the SCNX Helper Email must be professional, respectful, and in accordance with these Terms. You must not send any content that is defamatory, discriminatory, harassing, threatening, obscene, or otherwise inappropriate.
  • Monitoring and Access: You acknowledge that ScootKit retains administrative control over the SCNX Helper Email, including the ability to access, monitor, and review all communications sent and received through it. The SCNX Helper Email and all communications therein are the property of ScootKit.
  • Confidentiality of Email Content: All information received through the SCNX Helper Email, including but not limited to user inquiries, attachments, and internal communications, constitutes Confidential Information and is subject to the confidentiality obligations set forth in Section 6 of these Terms.
  • Termination of Access: Upon termination of your participation in the Helper Program for any reason, your access to the SCNX Helper Email will be revoked. You must not attempt to retain access to or copies of any communications from the SCNX Helper Email after your participation ends.

5.4 Helper Meetings

ScootKit may organize meetings, calls, video conferences, or other synchronous communication sessions for Helpers. The following rules apply:

  • Confidentiality: All content discussed, presented, shared, or otherwise communicated during Helper Meetings is Confidential Information. This includes but is not limited to: product updates, roadmap discussions, strategy sessions, training content, internal announcements, performance reviews, feedback discussions, and any other information shared during meetings.
  • No Recording or Reproduction: You must not record, screenshot, photograph, transcribe, summarize for external distribution, or otherwise reproduce the content of Helper Meetings without the explicit prior written consent of ScootKit. Notes taken for personal reference in the context of your Helper duties are permitted, provided that such notes are treated as Confidential Information and are subject to the destruction obligations upon termination of your participation.
  • Attendance and Participation: You must treat all participants in Helper Meetings with respect and professionalism. Information about who attended a meeting and what was discussed is itself Confidential Information.

6. Confidentiality

6.1 Scope of Confidentiality Obligation

Through the Helper Infrastructure, you will gain access to Confidential Information across multiple platforms and systems. You acknowledge that all Confidential Information is the property of ScootKit or its licensors and that unauthorized disclosure could cause significant harm to ScootKit, its users, and its business partners. The confidentiality obligations set forth in this section apply to all Confidential Information, regardless of the platform, system, or medium through which it was accessed or communicated.

6.2 Non-Disclosure Obligations

You agree to:

  • Treat all Confidential Information with the highest degree of care and confidentiality.
  • Use Confidential Information solely and exclusively for the purpose of performing your Helper duties within the scope of the SCNX Helper Program.
  • Not disclose, publish, share, transmit, forward, or otherwise make available any Confidential Information to any third party, whether directly or indirectly, in any medium or format, including but not limited to social media, forums, messaging platforms (including private messages on Discord to non-Helpers), blogs, videos, streams, podcasts, or in-person conversations.
  • Not copy, reproduce, screenshot, photograph, screen-record, download, cache, store locally, print, or extract Confidential Information in any form beyond what is strictly necessary and transiently required to perform your Helper duties.
  • Not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, data structures, or architecture of any Helper Dashboard or any related systems.
  • Implement reasonable technical and organizational measures to prevent inadvertent disclosure of Confidential Information, including but not limited to not using the Helper Infrastructure in public or shared spaces where screens may be observed by unauthorized persons.
  • Not discuss Confidential Information in any Discord channel, forum, or platform that is accessible to persons who are not authorized Helpers or ScootKit staff.

6.3 Exceptions

Your confidentiality obligations do not apply to information that: (a) was already publicly available at the time of disclosure without breach of any obligation of confidentiality; (b) becomes publicly available after disclosure through no fault of your own; (c) was independently developed by you without reference to or use of any Confidential Information; (d) is required to be disclosed by applicable law, regulation, or court order, provided that you promptly notify ScootKit prior to such disclosure (to the extent legally permissible) and cooperate with ScootKit's efforts to seek a protective order or other appropriate remedy.

6.4 Return and Destruction

Upon termination of your participation in the Helper Program, upon ScootKit's request, or upon becoming aware that retention is no longer necessary, you must immediately and permanently destroy all copies of Confidential Information in your possession or control, including any notes, summaries, analyses, screenshots, local copies, exported data, and derivative materials. Upon request, you shall provide written confirmation of such destruction.

6.5 Protection Under the Geschäftsgeheimnisgesetz (GeschGehG)

You acknowledge that Confidential Information may constitute trade secrets (Geschäftsgeheimnisse) within the meaning of § 2 GeschGehG. Unauthorized acquisition, use, or disclosure of such trade secrets may give rise to claims under §§ 6 ff. GeschGehG, including claims for injunctive relief, damages, and destruction of infringing materials, and may constitute a criminal offense under § 23 GeschGehG.

6.6 Survival

Your obligations under this Section 6 shall survive the termination of your participation in the Helper Program and shall remain in full force and effect indefinitely, or for the maximum period permitted by applicable law.

7. Data Protection and User Privacy

7.1 Role Under Data Protection Law

When accessing User Data through any part of the Helper Infrastructure, you act under the instruction and authority of ScootKit. For the purposes of the DSGVO, ScootKit is the data controller (Verantwortlicher) pursuant to Article 4(7) DSGVO. You shall process Personal Data only in accordance with ScootKit's documented instructions and these Terms.

7.2 Lawfulness of Processing

You acknowledge that the legal basis for the processing of User Data through the Helper Infrastructure is established by ScootKit. You shall not process User Data in any manner that would be inconsistent with the legal basis established or that would require a separate legal basis under the DSGVO.

7.3 Strict Purpose Limitation

You must process User Data exclusively for the purpose of providing Level 1 Support through the Helper Infrastructure. Any processing of User Data beyond this defined purpose is strictly prohibited. In particular, you shall not use User Data for any personal, commercial, research, marketing, or analytical purpose.

7.4 Prohibition on Accessing Private Information

You must never access, attempt to access, seek out, or request private or personal information of users beyond what the Helper Infrastructure explicitly and automatically surfaces to you in the context of a specific support interaction. This prohibition extends to but is not limited to: passwords and authentication credentials; payment information, banking details, and financial data; private messages, communications, and correspondence; government-issued identification numbers or documents; health-related data; precise geolocation data; biometric data; data relating to minors; any data field, database, or system that is not part of the Helper Infrastructure's designated display for your current support task.

7.5 Prohibited Uses of User Data

Without limiting the generality of the foregoing, you expressly agree not to:

  • Contact any SCNX user outside of the designated Support Channels or the Helper Infrastructure, by any means, for any reason, including but not limited to sending private messages on Discord to users regarding their support inquiries unless such practice is explicitly authorized.
  • Aggregate, correlate, combine, cross-reference, profile, or analyze User Data, whether from a single user or across multiple users.
  • Sell, license, rent, trade, barter, or otherwise commercialize any User Data or Confidential Information.
  • Use User Data to create derivative works, databases, datasets, or any form of compiled information.
  • Transfer or transmit User Data to any third party, including other Helpers, unless explicitly authorized by ScootKit through the Helper Infrastructure.
  • Retain any User Data after the specific support interaction for which it was displayed has concluded.
  • Attempt to identify, locate, or contact any SCNX user in the real world based on information obtained through the Helper Infrastructure.
  • Share User Data in any Discord channel, including Helper-Only Channels, unless doing so is strictly necessary for resolving a support issue or escalation, and only to the extent necessary.

7.6 Data Minimization

In accordance with Article 5(1)(c) DSGVO, you shall observe the principle of data minimization. You shall only access, view, and process the minimum amount of User Data strictly necessary to resolve the specific support inquiry at hand. You shall not browse, search through, or access User Data out of curiosity or for any purpose unrelated to an active support interaction.

7.7 Storage Limitation and Deletion

You shall not store any User Data on any personal device, cloud storage service, external medium, or any location outside the Helper Infrastructure. If you inadvertently come into possession of User Data outside the Helper Infrastructure (e.g., through an accidental download, screenshot, or Discord message), you must immediately and permanently delete such data and notify ScootKit of the incident.

7.8 Data Security

You shall implement appropriate technical and organizational measures to ensure the security of any Personal Data you process through the Helper Infrastructure, including: (a) using the Helper Infrastructure only on devices that are protected by up-to-date security software and strong access controls; (b) not using the Helper Infrastructure on jailbroken, rooted, or otherwise compromised devices; (c) not using public or unsecured Wi-Fi networks to access the Helper Infrastructure without appropriate encryption measures (e.g., VPN); (d) ensuring that no unauthorized person can observe your screen while using the Helper Infrastructure; (e) securing your Discord account with a strong password and two-factor authentication.

7.9 Data Breach Notification

If you become aware of or reasonably suspect any unauthorized access, disclosure, loss, alteration, or destruction of Personal Data, or any security breach affecting the Helper Infrastructure or User Data (a "Data Breach"), you must immediately and without undue delay (within no more than twenty-four (24) hours) notify ScootKit through the designated escalation channel. Your notification must include, to the extent available: a description of the nature of the incident; the categories and approximate number of affected data subjects; the likely consequences of the breach; and any measures taken or proposed to address the breach. This obligation applies regardless of whether the breach was caused by your actions or omissions.

7.10 Cooperation with Authorities

You agree to fully cooperate with ScootKit in responding to any data protection-related inquiries, complaints, or investigations by supervisory authorities (Aufsichtsbehörden), including but not limited to the Bundesbeauftragte für den Datenschutz und die Informationsfreiheit (BfDI) and the relevant Landesdatenschutzbeauftragte, as well as any requests by data subjects exercising their rights under Chapter III of the DSGVO.

7.11 Sub-Processing

You shall not engage any third party to process Personal Data on your behalf in connection with your participation in the Helper Program. You shall not share access to the Helper Infrastructure or any User Data with any third party.

8. Acceptable Use

8.1 General Conduct Standards

You agree to use the Helper Infrastructure and participate in the Helper Program in a manner that is lawful, ethical, professional, and consistent with the good reputation of ScootKit, SCNX, and the Helper community. You shall act in good faith and in the best interest of SCNX users at all times while performing your Helper duties.

8.2 Affirmative Obligations

You agree to:

  • Provide accurate, truthful, helpful, and respectful support to SCNX users.
  • Follow all guidelines, manuals, standard operating procedures, escalation paths, and policies communicated to you by ScootKit.
  • Escalate any issue that exceeds the scope of Level 1 Support promptly and in accordance with the applicable escalation procedures.
  • File tickets and bug reports accurately, completely, and in good faith, including all relevant information available to you.
  • Maintain a professional, courteous, and non-discriminatory demeanor in all interactions with users, ScootKit staff, and other Helpers, whether in Support Channels, Helper-Only Channels, Helper Meetings, or any other context.
  • Complete any ongoing training or certification requirements that ScootKit may introduce from time to time.
  • Promptly respond to any inquiries from ScootKit regarding your participation in the Helper Program.
  • Comply with all applicable laws and regulations in connection with your participation in the Helper Program.

8.3 Prohibited Conduct

You must not:

  • Misrepresent yourself as an employee, officer, contractor, agent, or authorized representative of ScootKit to any person, whether inside or outside the Helper Infrastructure.
  • Use the Helper Infrastructure or any information obtained through it for any purpose other than performing your legitimate Helper duties.
  • File fraudulent, misleading, duplicate, incomplete, or malicious tickets or bug reports.
  • Submit false information, manipulate data, or otherwise act dishonestly within the Helper Infrastructure.
  • Attempt to gain access to features, data, systems, or areas of the Helper Infrastructure or related systems that are not intended for or assigned to you.
  • Exploit any vulnerability, error, bug, or security flaw in the Helper Infrastructure or any related system, whether for personal gain or otherwise. If you discover a vulnerability, you must report it to ScootKit immediately without exploiting or disclosing it.
  • Use automated scripts, bots, crawlers, scrapers, or other automated tools to interact with the Helper Infrastructure unless explicitly authorized in writing by ScootKit.
  • Interfere with, disrupt, or degrade the performance, availability, or security of the Helper Infrastructure or any related systems.
  • Engage in harassment, bullying, intimidation, discrimination, hate speech, or abusive behavior toward users, ScootKit staff, or other Helpers, in any channel or platform.
  • Impersonate any other Helper, user, or ScootKit employee.
  • Use the Helper Infrastructure or any Helper-provided resources (including the SCNX Helper Email and Discord roles) to promote personal projects, services, or interests unrelated to the Helper Program.
  • Take any action that could damage the reputation, goodwill, or business interests of ScootKit or SCNX.

8.4 Compliance with Laws

You represent and warrant that your participation in the Helper Program complies with all applicable laws and regulations, including but not limited to the DSGVO, the BDSG, the Strafgesetzbuch (StGB) - in particular § 202a StGB (Ausspähen von Daten), § 202b StGB (Abfangen von Daten), § 203 StGB (Verletzung von Privatgeheimnissen), § 303a StGB (Datenveränderung), and § 303b StGB (Computersabotage) - as well as the Gesetz gegen den unlauteren Wettbewerb (UWG) and the Geschäftsgeheimnisgesetz (GeschGehG).

9. Intellectual Property

9.1 ScootKit Ownership

All content, software, code, tools, designs, interfaces, logos, trademarks, trade names, documentation, and materials within or relating to SCNX and the Helper Infrastructure are and shall remain the exclusive property of ScootKit or its respective licensors and are protected by applicable intellectual property laws, including the Urheberrechtsgesetz (UrhG), the Markengesetz (MarkenG), and applicable European Union regulations. Nothing in these Terms grants you any ownership right, title, or interest in or to SCNX, the Helper Infrastructure, or any of their components.

9.2 Limited License

Subject to your compliance with these Terms, ScootKit grants you a limited, non-exclusive, non-transferable, non-sublicensable, freely revocable license to access and use the Helper Infrastructure solely for the purpose of performing your Helper duties. This license does not include any right to: (a) modify, adapt, translate, or create derivative works of the Helper Infrastructure; (b) distribute, sublicense, lease, rent, or lend the Helper Infrastructure or access thereto; (c) decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code of any part of the Helper Infrastructure; (d) remove, alter, or obscure any proprietary notices, labels, or markings.

9.3 Feedback and Suggestions

Any bug reports, feature requests, improvement suggestions, usability observations, ticket replies, notes, comments, annotations, or other operational content you create or submit through the Helper Infrastructure - including but not limited to content entered into any Helper Dashboard, ticket system, or bug reporting tool - (collectively, "Feedback") shall be the exclusive property of ScootKit. You hereby irrevocably assign to ScootKit all right, title, and interest in and to any Feedback, including all intellectual property rights therein, without any obligation of attribution, compensation, or accounting. ScootKit is free to use, implement, modify, and commercialize any Feedback without restriction. For the avoidance of doubt, "Feedback" does not include creative works, articles, guides, graphics, or other content you independently author and publish on platforms such as scnx.tips, which are governed by their own applicable terms and licensing agreements.

9.4 Trademarks

You may not use ScootKit's or SCNX's name, logo, trademarks, or trade names in any manner without the prior written consent of ScootKit, except as may be necessary in the ordinary course of your Helper duties within the Helper Infrastructure and Support Channels.

10. Monitoring and Audit

10.1 Right to Monitor

You acknowledge and agree that ScootKit may monitor, log, record, and audit your use of the Helper Infrastructure, including but not limited to: login times and durations; actions performed within any Helper Dashboard; data accessed and viewed; tickets created and modified; bug reports submitted; communications sent through the SCNX Helper Email; and any other activity within the Helper Infrastructure. Such monitoring is carried out for the purposes of security, quality assurance, compliance verification, and the protection of the legitimate interests of ScootKit and its users.

10.2 Audit Rights

ScootKit reserves the right to conduct periodic or ad-hoc audits of your compliance with these Terms. You agree to cooperate fully with any such audit, including by providing access to relevant information upon reasonable request, to the extent permitted by applicable law.

10.3 Automated Decision-Making

ScootKit may employ automated tools and algorithms to detect anomalous or suspicious activity within the Helper Infrastructure. Such tools may trigger automated alerts or temporary access restrictions pending manual review.

11. Suspension and Termination

11.1 Termination by ScootKit Without Cause

ScootKit may terminate your participation in the Helper Program and your access to the Helper Infrastructure at any time, for any reason or no reason, by providing you with written notice (a message on Discord or email is sufficient). Such termination shall take effect immediately upon delivery of the notice or at a later date specified in the notice.

11.2 Termination by ScootKit for Cause

ScootKit may immediately suspend or terminate your participation and access without prior notice if: (a) you breach any provision of these Terms; (b) you engage in conduct that, in ScootKit's sole judgment, could harm ScootKit, SCNX, its users, or its reputation; (c) you are suspected of unauthorized access to data or systems; (d) you fail to comply with applicable laws or regulations; (e) your continued access poses a security risk; (f) you become inactive for a period exceeding 180 consecutive days; (g) the SCNX Helper Program is discontinued in whole or in part.

11.3 Termination by the Helper

You may cease participating in the Helper Program at any time. If you wish to formally deactivate your Helper status, you must submit a request through the designated channel on Discord or via email. Voluntary departure does not relieve you of any obligations that survive termination under these Terms.

11.4 Effects of Termination

Upon termination of your participation, regardless of the reason:

  • Your license to use the Helper Infrastructure is immediately and automatically revoked.
  • You must immediately cease all use of the Helper Infrastructure, including all Helper Dashboards, Helper-Only Channels, and the SCNX Helper Email.
  • Your access to Helper-Only Channels on Discord will be revoked, and your Helper roles will be removed.
  • Your access to the SCNX Helper Email will be terminated.
  • You must immediately and permanently destroy all Confidential Information and User Data in your possession or control, including notes, summaries, screenshots, local copies, and derivative materials, including any notes from Helper Meetings.
  • Upon request by ScootKit, you shall provide a written declaration confirming your compliance with the obligations under this Section.
  • All provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to Sections 6 (Confidentiality), 7 (Data Protection), 9 (Intellectual Property), 12 (Liability), 13 (Indemnification), and 16 (Governing Law).

11.5 No Claims Upon Termination

Termination of your participation in the Helper Program shall not give rise to any claims for compensation, damages, lost profits, or any other payments, regardless of the reason for termination. You waive any claims of this nature to the fullest extent permitted by law.

12. Warranty Disclaimer

12.1 "As Is" Provision

The Helper Infrastructure is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, ScootKit makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the Helper Infrastructure, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, availability, or uninterrupted operation.

12.2 No Guarantee of Availability

ScootKit does not guarantee that the Helper Infrastructure will be available at all times, that it will be free of errors, defects, viruses, or other harmful components, or that any defects will be corrected. ScootKit may modify, suspend, or discontinue the Helper Infrastructure or any feature thereof at any time without prior notice and without liability.

12.3 Statutory Rights

Nothing in these Terms shall exclude or limit any warranty that cannot be lawfully excluded or limited under German law.

13. Limitation of Liability

13.1 Unlimited Liability

ScootKit's liability shall be unlimited in cases of: (a) intentional misconduct (Vorsatz); (b) gross negligence (grobe Fahrlässigkeit) on the part of ScootKit, its legal representatives, or senior management (leitende Angestellte); (c) injury to life, body, or health (Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit); (d) liability under the Produkthaftungsgesetz (ProdHaftG); (e) any other case where liability cannot be excluded or limited by law.

13.2 Limited Liability for Negligent Breach of Material Obligations

In cases of negligent (fahrlässig) breach of material contractual obligations (wesentliche Vertragspflichten, i.e., obligations whose fulfillment is essential for the proper performance of the contract and on which the other party regularly relies), ScootKit's liability shall be limited to the typically foreseeable damage at the time of contract formation (vertragstypisch vorhersehbarer Schaden).

13.3 Exclusion of Further Liability

In all other cases, ScootKit's liability for damages - whether arising from contract, tort, or any other legal theory - is excluded to the maximum extent permitted by applicable law.

13.4 Consequential Damages

To the extent permitted by law and subject to the provisions of Sections 13.1 and 13.2, ScootKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses, even if ScootKit has been advised of the possibility of such damages.

13.5 Limitation on Amount

Without prejudice to Sections 13.1 and 13.2, ScootKit's total aggregate liability arising out of or in connection with these Terms shall not exceed one hundred euros (EUR 100.00), except where a higher amount is mandated by applicable law.

13.6 Voluntary Nature of Activity

You acknowledge and agree that your participation in the Helper Program is entirely voluntary and not remunerated. You accept all risks associated with your participation, including but not limited to any loss of time, effort, or opportunity.

14. Indemnification (Freistellung)

14.1 Scope of Indemnification

You agree to indemnify, defend, and hold harmless ScootKit, its managing directors (Geschäftsführer), employees, affiliates, agents, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your breach of any provision of these Terms; (b) your misuse of Confidential Information or User Data; (c) your violation of any applicable law, regulation, or third-party right; (d) your negligent or willful acts or omissions in connection with your participation in the Helper Program; (e) any false, inaccurate, or misleading information provided by you; (f) any claim by a third party (including any SCNX user) arising from your actions or omissions in connection with the Helper Program.

14.2 Notice and Cooperation

ScootKit will promptly notify you of any claim subject to indemnification under this section (to the extent practicable) and will provide reasonable cooperation in the defense of such claim at your expense. ScootKit reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

15. Consequences of Breach

15.1 Remedial Actions

In the event of a breach or suspected breach of these Terms, ScootKit may, at its sole discretion and without limiting any other rights or remedies, take one or more of the following actions: (a) issue a written warning; (b) temporarily suspend your access to part or all of the Helper Infrastructure; (c) permanently terminate your participation in the Helper Program; (d) report the breach to relevant regulatory or law enforcement authorities; (e) pursue any legal remedies available under applicable law, including claims for injunctive relief and damages.

15.2 Contractual Penalties (Vertragsstrafen)

Without prejudice to ScootKit's right to claim damages in excess thereof, you agree that in the event of a proven, intentional breach of the confidentiality obligations set forth in Section 6 or the data protection obligations set forth in Section 7, you shall pay a contractual penalty (Vertragsstrafe) of 250 EUR per breach. ScootKit may reduce the contractual penalty at its equitable discretion (billiges Ermessen) pursuant to § 315 BGB if the penalty would be disproportionate in the individual case. This provision shall be subject to judicial review pursuant to § 343 BGB.

15.3 Right to Injunctive Relief

You acknowledge that any breach of Sections 6 or 7 of these Terms may cause irreparable harm to ScootKit and its users for which monetary damages alone would be inadequate. Accordingly, ScootKit shall be entitled to seek injunctive and other equitable relief (einstweiliger Rechtsschutz) in addition to any other remedies available at law.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and excluding the conflict of laws provisions of German private international law.

16.2 Jurisdiction

The exclusive place of jurisdiction (ausschließlicher Gerichtsstand) for any disputes arising out of or in connection with these Terms shall be the competent court at ScootKit's registered seat, to the extent permitted by law. If you are a consumer (Verbraucher) within the meaning of § 13 BGB, this choice of jurisdiction shall apply only to the extent permitted by § 38 ZPO and applicable EU regulations.

16.3 Alternative Dispute Resolution

ScootKit is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) within the meaning of the Verbraucherstreitbeilegungsgesetz (VSBG). The European Commission provides a platform for online dispute resolution (OS) at https://ec.europa.eu/consumers/odr, which is referenced here for informational purposes only.

17. Notices and Communications

All notices, communications, and announcements from ScootKit to Helpers may be delivered via: (a) Discord message or announcement in the relevant Helper channels; (b) email to the address associated with your Helper account or your SCNX Helper Email; (c) in-Dashboard notifications; (d) any other reasonable means. Notices sent by email or Discord shall be deemed received twenty-four (24) hours after dispatch. All formal notices from Helpers to ScootKit must be sent to [email protected] or through the designated endpoint in the Helper Dashboard.

18. Force Majeure

ScootKit shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond ScootKit's reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, cyberattacks, government actions, power failures, internet outages, or telecommunications disruptions. During any such event, ScootKit's obligations shall be suspended for the duration of the force majeure event.

19. Assignment and Transfer

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms to any third party without the prior written consent of ScootKit. Any attempted assignment in violation of this provision shall be null and void. ScootKit may freely assign or transfer its rights and obligations under these Terms to any affiliate, successor, or assignee in connection with a merger, acquisition, reorganization, or sale of assets.

20. Waiver

The failure of ScootKit to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed or confirmed by an authorized representative of ScootKit to be effective. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any other occasion.

21. Entire Agreement

These Terms, together with any Supplementary Policies incorporated herein by reference and any separate agreements entered into between you and ScootKit, constitute the entire agreement between you and ScootKit regarding your participation in the SCNX Helper Program. These Terms supersede all prior or contemporaneous agreements, understandings, negotiations, representations, and warranties, whether written or oral, with respect to the subject matter hereof.

22. Language

These Terms are drafted in the English language. In the event that these Terms are translated into another language, the English version shall prevail in the case of any conflict or inconsistency, unless the translation is the legally required version under applicable law.

Acknowledgment and Agreement

By accessing or using any part of the SCNX Helper Infrastructure or by participating in the SCNX Helper Program, you acknowledge and confirm that:

  • You have read these Terms of Service in their entirety.
  • You understand the obligations and restrictions imposed on you by these Terms, including the confidentiality of Helper-Only Channels, Helper Meetings, and all communications through the SCNX Helper Email.
  • You voluntarily agree to be bound by these Terms.
  • You understand that your participation in the Helper Program involves access to Confidential Information and User Data across multiple dashboards and systems, and you accept the responsibilities associated with such access.
  • You understand that the SCNX Helper Email may only be used for purposes directly related to the Helper Program and is subject to monitoring by ScootKit.
  • You understand that violation of these Terms may result in immediate termination of your participation and may give rise to legal liability, including contractual penalties and claims for damages.
